NDA Form Template

An NDA form is a structured document that records one or both parties' binding commitment to keep specified information confidential. It defines what counts as confidential, how long the obligation lasts, and what exceptions apply — giving you an enforceable paper trail if protected information is ever disclosed without authorization.

Use it before any conversation where sensitive information will be shared — a technical interview involving unreleased product details, a vendor evaluation requiring system access, or a partnership discussion that moves to financials or roadmaps. The rule is simple: if disclosure happening first would put you at risk, the NDA needs to come first.

At minimum: a clear definition of what constitutes confidential information, explicit carve-outs (publicly available info, independently developed knowledge), the duration of the obligation, permitted disclosure scenarios, and the remedy for breach. For mutual NDAs, both parties' obligations should be stated symmetrically so the agreement holds both ways.

A one-way NDA binds only the receiving party — used when only one side is disclosing sensitive information, such as during a job interview. A mutual NDA binds both parties — used when the exchange is two-directional, such as in a partnership exploration where both sides share proprietary details. Choosing the wrong type can leave one party unprotected.

Industry standard is one to five years for most commercial NDAs, though trade secrets are sometimes protected indefinitely. The right duration depends on how long the information retains competitive value. For hiring contexts, one to two years is typical. For technology licensing or M&A discussions, three to five years is more common. Always specify an end date — open-ended obligations are harder to enforce in many jurisdictions.
